Terms and Conditions for Vendors - Ovadraft

1. Introduction
These Terms and Conditions govern the relationship between Ovadraft and vendors participating in the Ovadraft platform. By engaging with Ovadraft, vendors agree to comply with these terms.

2. Liability Disclaimer
Ovadraft and Smart Cover Africa LTD (hereinafter referred to as "the Company") shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of the Ovadraft service by vendors or customers. This includes, but is not limited to, any loss of profits, data, or business opportunities resulting from:

• The use or inability to use the Ovadraft service.
• Any unauthorized access to or use of the Company’s secure servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the service.
• Any bugs, viruses, or the like that may be transmitted to or through our service by any third party.

By accepting these Terms, vendors acknowledge that they are solely responsible for their participation in the Ovadraft service.

3. Access to Services
All holders of the Ovadraft card shall have express access to services and care provided by vendors. Vendors are expected to honor and facilitate this access, ensuring that cardholders receive the benefits associated with the Ovadraft service.

4. Transaction Fees
The Company will charge a 5% monthly fee on every transaction processed through the Ovadraft platform. This fee will be deducted from the total transaction amount before any payments are remitted to the vendor.

5. Promotion of Vendor Businesses
The Company commits to promoting vendors' businesses across its platforms and official locations where the Ovadraft card can be utilized. This promotional activity may include but is not limited to:

• Highlighting vendor services on the Ovadraft website and social media channels.
• Featuring vendors in promotional campaigns and advertisements.
• Providing vendors with opportunities for visibility at Ovadraft-sponsored events.

6. Changes to Terms
The Company reserves the right to modify these Terms and Conditions at any time. Vendors will be notified of any changes, and continued use of the Ovadraft service after such modifications will constitute acceptance of the new Terms.

7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts located in Nigeria.

8. Acceptance of Terms
By registering as a vendor and utilizing the Ovadraft service, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
